Terms of service

This page is a summary for information purposes. The binding contractual text is in French: Conditions générales Mintaka Sàrl — v1.0, which incorporates the data processing agreement (DPA).

These General Terms and Conditions (“GTC”) govern the supply, by Mintaka Sàrl, of its software-as-a-service (“SaaS”) products — including Tacticat — to any person or entity acting exclusively within its professional or commercial activity (“Client”). Products are intended exclusively for professional clients.

Conclusion, term and termination

The contract is concluded when the Client creates an account and expressly accepts the GTC. Unless otherwise agreed, it runs for an indefinite term with monthly or annual billing periods. The Client may terminate at any time, effective at the end of the current subscription period; amounts already due for a started period are not refunded. Mintaka may terminate for convenience with 30 days' notice, and may suspend, restrict or terminate immediately for cause (breach, unpaid invoices, security risk, fraud, legal requirement, among others).

Fees and billing

Fees follow the applicable pricing grid, exclusive of taxes unless stated otherwise. Overdue amounts bear interest at 5% per year under Swiss law, plus recovery costs where recoverable.

Service and evolution

Mintaka targets 99% operational availability, excluding planned maintenance, force majeure, and factors outside its reasonable control; this target is not a guaranteed SLA. Mintaka may evolve, add, or remove features as part of normal SaaS operation, with reasonable notice for changes that substantially reduce an essential feature.

Liability

Mintaka's cumulative liability is capped, to the extent permitted by Swiss law, at the amount actually paid by the Client for the Product concerned during the twelve months preceding the event giving rise to the claim. Indirect and consequential damages (lost profits, lost customers, lost opportunities, among others) are excluded.

Data protection

Where Mintaka processes Participant data on behalf of the Client (the Operator), it acts as a processor under the applicable data processing agreement (DPA). The Operator remains responsible for its own activity, pricing, insurance, safety and relationships with its Participants — Mintaka is not a party to those relationships.

Intellectual property

Mintaka retains all intellectual property rights in the Product. The Client receives a limited, non-exclusive, non-transferable right to use it for its internal professional needs during the term of the contract.

Governing law and jurisdiction

The contract is governed exclusively by Swiss substantive law. The exclusive jurisdiction for any action against Mintaka is the registered office of Mintaka Sàrl, subject to mandatory venues.
